Welcome to the Honda Marketplace platform. By accessing or using our website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.

These Terms of Service constitute a legally binding agreement between you and Honda Marketplace ("we," "us," or "our"). We reserve the right to modify these terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the platform after any such changes constitutes your acceptance of the new Terms of Service.

2. Eligibility and Accounts

To use Honda Marketplace, you must be at least 18 years old and capable of entering into legally binding contracts. By creating an account, you represent and warrant that you meet these eligibility requirements.

Account Types and Subscriptions

Honda Marketplace offers different account types, including trial accounts and paid subscriptions. Sellers must maintain an active subscription to publish listings. Account features and limitations are determined by your subscription tier.

Trial accounts may have limited features and listing capabilities
Active subscriptions are required to publish and maintain active listings
Subscription fees are non-refundable except as required by law
You are responsible for maintaining the security of your account credentials

Account Responsibilities

You are responsible for all activities that occur under your account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security and confidentiality of your password
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activities conducted through your account

3. Listings and Seller Obligations

Sellers using Honda Marketplace to list vehicles must comply with all applicable laws and these terms. By creating a listing, you represent that you have the legal right to sell the vehicle and that all information provided is accurate and complete.

Accuracy and Disclosure

Sellers must provide accurate and honest information about listed vehicles. This includes:

Accurate vehicle description, specifications, and condition
Complete disclosure of any known defects, damage, or issues
Truthful representation of vehicle history and documentation
Clear, recent photographs that accurately represent the vehicle
Honest disclosure of any modifications or aftermarket parts

Document Uploads and Verification

Sellers may be required to upload documentation to support their listings, including but not limited to vehicle registration, emission test certificates, or ownership documents. You agree to:

Upload only genuine, unaltered documents
Ensure uploaded documents are legible and complete
Watermark sensitive documents to protect your personal information
Understand that document verification does not guarantee authenticity
Not upload documents belonging to others without authorization

Listing Restrictions

Sellers may not:

List stolen or illegally obtained vehicles
Misrepresent vehicle condition, history, or ownership
Include contact information in listing descriptions to circumvent platform fees
Create duplicate listings for the same vehicle
List vehicles they do not have authority to sell

4. Prohibited Content and Behavior

The following activities are strictly prohibited on Honda Marketplace:

Fraudulent or deceptive practices of any kind
Harassment, threats, or abusive behavior toward other users
Posting false, misleading, or defamatory content
Attempting to circumvent platform fees or payment systems
Using the platform for money laundering or other illegal activities
Scraping, data mining, or automated data collection
Interfering with or disrupting platform operations
Impersonating other users or platform representatives
Uploading malicious code, viruses, or harmful software
Violating any applicable laws or regulations

5. Messaging and Conduct

Honda Marketplace provides an integrated messaging system to facilitate communication between buyers and sellers. When using our messaging features, you agree to:

Communicate respectfully and professionally
Not share personal contact information to avoid platform transactions
Not use the messaging system for spam or solicitation
Not harass, threaten, or abuse other users
Comply with all applicable laws regarding electronic communications

We reserve the right to monitor messages for compliance with these terms and applicable laws, though we are not obligated to do so. Violations may result in account suspension or termination.

6. Intellectual Property

All content on Honda Marketplace, including but not limited to text, graphics, logos, images, software, and design elements, is the property of Honda Marketplace or its licensors and is protected by copyright, trademark, and other intellectual property laws.

User-Generated Content

By uploading content to Honda Marketplace (including listing descriptions, photos, and documents), you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content solely for the purpose of operating and promoting the platform.

You retain all ownership rights to your content and may request its removal at any time by deleting your listing or account, subject to our data retention policies.

Trademarks

"Honda Marketplace" and related marks are trademarks owned by us. The Honda name and logo are trademarks of Honda Motor Co., Ltd., and are used under license or for descriptive purposes only. Unauthorized use of any trademarks is strictly prohibited.

7. Document Verification Disclaimer

IMPORTANT: Document verification features are provided as a convenience and do not guarantee authenticity, accuracy, or completeness.

While we may offer tools to verify or validate uploaded documents, such features are not infallible and should not be relied upon as definitive proof. Users are responsible for conducting their own due diligence, including:

Independently verifying vehicle documentation with relevant authorities
Conducting physical inspections before purchase
Reviewing vehicle history reports from reputable providers
Consulting with legal or automotive professionals when necessary

We make no warranties or representations regarding the accuracy of uploaded documents or verification results. You agree to hold us harmless from any claims arising from reliance on document verification features.

8. Disclaimers and Limitation of Liability

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS OUR LIABILITY TO YOU.

Platform Provided 'As Is'

THE HONDA MARKETPLACE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SECURITY.

We do not warrant that:

The platform will be uninterrupted, secure, or error-free
Defects will be corrected
The platform or servers are free of viruses or harmful components
Results obtained from using the platform will be accurate or reliable

Transaction Disclaimer

Honda Marketplace is a platform that connects buyers and sellers. We are not a party to any transaction between users. We do not:

Guarantee the quality, safety, or legality of listed vehicles
Verify the accuracy of user-provided information
Guarantee that transactions will be completed
Provide warranties or guarantees for vehicles listed on the platform
Assume responsibility for user conduct or compliance with laws

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HONDA MARKETPLACE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

Your use or inability to use the platform
Any unauthorized access to or use of our servers or personal information
Any interruption or cessation of transmission to or from the platform
Any bugs, viruses, or harmful code transmitted through the platform
Any errors or omissions in content or listings
User content or conduct of any third party on the platform
Any transactions between users

Our total liability to you for all claims arising from your use of the platform shall not exceed the greater of (a) the amount you paid us in the twelve months prior to the claim, or (b) ₱5,000.

9. Indemnity

You agree to defend, indemnify, and hold harmless Honda Marketplace, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

Your access to or use of the platform
Your violation of these Terms of Service
Your violation of any third-party rights, including intellectual property or privacy rights
Your listings, content, or any information you provide
Your transactions with other users
Any claim that your content caused damage to a third party

10. Termination and Suspension

We reserve the right to suspend or terminate your account and access to Honda Marketplace at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms of Service
Fraudulent, abusive, or illegal activity
Non-payment of subscription fees
Extended periods of inactivity
At your request

Upon termination:

Your right to access and use the platform will immediately cease
Your listings will be removed from public view
We may retain certain data as required by law or for legitimate business purposes
Subscription fees are non-refundable
Provisions of these terms that by their nature should survive termination will remain in effect

11. Governing Law and Jurisdiction

These Terms of Service and your use of Honda Marketplace shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or related to these terms or your use of the platform shall be instituted exclusively in the courts of the Philippines. You consent to the personal jurisdiction of such courts and waive any objection to venue.

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
